Welcome to STAROHM. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Billion Hill Limited, the operator of STAROHM (“we,” “our,” or “us”), governing your access to and use of our website (https://starohm.xyz), mobile app, decentralized application (dapp), and other related services (collectively, the “Services”).
Please read these Terms carefully before using any of our Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
Definitions
For the purposes of these Terms:
- “Digital Assets” refers to digital currencies, tokens, or other types of digital or virtual assets that are transferable, stored, or traded electronically.
- “Blockchain” means a decentralized and distributed ledger technology that records transactions across many computers.
- “Wallet” refers to a digital wallet that stores public and private keys and allows users to send, receive, and manage Digital Assets.
- “Account” means the STAROHM account you create to access the Services.
- “User Content” refers to any information, material, or content that you submit to the Services, including comments, feedback, and suggestions.
1. Acceptance of Terms
1.1. By accessing, using, or creating an account with the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies or agreements referenced herein.
1.2. You represent and warrant that you:
- Are at least 18 years old or have reached the legal age of majority in your jurisdiction.
- Have the legal capacity to enter into these Terms.
1.3. If you are acting on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. About STAROHM and Our Services
2.1. STAROHM is a blockchain-based platform providing decentralized applications (dapps) that enable users to interact with decentralized networks and Digital Assets. Our Services may include:
- Accessing, storing, transferring, and managing various forms of Digital Assets.
- Facilitating blockchain transactions.
2.2. STAROHM does not act as a financial institution, investment advisor, or broker-dealer. We do not provide financial, legal, or tax advice, and you should consult with a professional regarding any such matters.
2.3. You acknowledge that:
- Transactions conducted via blockchain are immutable and final.
- Blockchain networks operate independently of STAROHM, and we cannot reverse or interfere with blockchain transactions.
- Your use of blockchain and Digital Assets carries risks, including the potential loss of Digital Assets due to market volatility or technical issues.
3. Eligibility and User Responsibility
3.1. To use the Services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Be legally capable of entering into binding contracts.
- Use the Services in accordance with these Terms, applicable laws, and third-party terms governing the use of Digital Assets and blockchain technologies.
3.2. You are solely responsible for:
- Maintaining the security of your account credentials, including wallet keys.
- Ensuring that your use of the Services complies with local laws and regulations.
- All activities conducted through your account, whether or not authorized by you.
3.3. STAROHM reserves the right to refuse access to the Services at our discretion and to suspend or terminate accounts for violations of these Terms.
4. Account Registration and Security
4.1. To access certain features of the Services, you may be required to register for an account.
4.2. You agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information.
- Safeguard your account credentials and promptly notify us of any unauthorized access or security breaches.
- Accept full responsibility for all activities conducted under your account.
4.3. You acknowledge that you are responsible for securing your digital wallet and private keys. Any loss or compromise of your private keys may result in the loss of Digital Assets, which cannot be recovered by STAROHM.
5. Prohibited Activities
5.1. You agree not to use the Services to:
- Violate any applicable law or regulation, including anti-money laundering (AML), counter-terrorist financing (CTF), sanctions, or tax laws.
- Engage in illegal activities such as fraud, trafficking, or unlawful gambling.
- Interfere with blockchain networks, manipulate digital asset markets, or engage in activities that harm the Services.
- Use automated tools (e.g., bots, scrapers) without our express permission.
- Transmit harmful code, such as viruses or malware, that could damage or disrupt the Services or blockchain networks.
6. Blockchain Transactions and Digital Assets
6.1. By using STAROHM’s decentralized applications, you understand and accept that:
- Blockchain transactions are final and irreversible. Once confirmed on the blockchain, they cannot be modified or reversed.
- STAROHM does not control the blockchain networks that process your transactions.
- You are responsible for ensuring the accuracy of transaction details, including recipient addresses and amounts.
6.2. Transaction Fees:
All blockchain transactions are subject to network fees (often called “gas fees”) determined by the network. STAROHM has no control over these fees, and you are responsible for ensuring sufficient funds to cover any associated costs.
6.3. Risks:
Blockchain technology is still evolving, and you accept the following risks:
- Loss of funds due to blockchain errors, hacks, or wallet mismanagement.
- Volatility in the value of Digital Assets, leading to financial loss.
- Regulatory uncertainty, which may impact your ability to use the Services.
7. Intellectual Property
7.1. All content, software, designs, text, graphics, and other materials provided through the Services, including STAROHM’s trademarks and logos, are the intellectual property of STAROHM or its licensors. You may not copy, distribute, display, modify, or create derivative works from STAROHM’s intellectual property without prior written consent.
7.2. By submitting content (such as feedback or user-generated content) through the Services, you grant STAROHM a perpetual, royalty-free, worldwide license to use, modify, distribute, and display such content in connection with the operation of the Services.
8. User Content and Feedback
8.1. Any information, material, or content you submit to the Services, including comments, feedback, and suggestions (“User Content”), will be non-confidential and non-proprietary.
8.2. You grant STAROHM a non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and display User Content for any purpose, including improving the Services.
8.3. You represent and warrant that you:
- Own or have the necessary rights and permissions to submit User Content.
- Ensure that your User Content does not infringe on the rights of third parties, including intellectual property and privacy rights.
8.4. STAROHM reserves the right to remove or block any User Content that violates these Terms or is deemed harmful, abusive, or unlawful.
9. Financial Services and Fees
9.1. STAROHM reserves the right to introduce or modify fees for the use of the Services, including:
- Transaction fees (e.g., gas fees for blockchain transactions).
- Subscription fees for access to premium features or services.
9.2. Any applicable fees will be disclosed prior to the execution of a transaction or at the point of sale.
9.3. You are responsible for paying all fees, including those imposed by third-party service providers, such as blockchain network fees or payment processors.
10. Taxation
10.1. You are solely responsible for determining whether, and to what extent, any taxes apply to your use of the Services, including Digital Asset transactions.
10.2. You are responsible for reporting and remitting the correct taxes to the appropriate tax authorities. STAROHM does not provide tax advice and is not responsible for your tax obligations.
11. Third-Party Services and Links
11.1. The Services may include links to third-party websites, services, or content that is not controlled by STAROHM.
11.2. Accessing third-party services is at your own risk, and we recommend reviewing their terms of use and privacy policies before engaging with them.
12. Onboarding & Account Verification
12.1. By opening an account with STAROHM, you confirm that you are:
- Not a citizen or resident of any country or region sanctioned by relevant authorities.
- Not identified as a “Specially Designated National” or on any restricted persons list.
- Not a resident of jurisdictions where access to STAROHM’s Services is prohibited.
12.2. You confirm that:
- You are the legal owner of any Digital Assets you deposit into your STAROHM account.
- You will provide STAROHM with accurate and up-to-date information for verification purposes.
- You agree to comply with all applicable tax, exchange control, and registration requirements in your jurisdiction.
12.3. STAROHM reserves the right to verify your identity and validate your funding sources and transactions through third-party verification services. Failure to comply with requests for information may result in suspension or termination of your account.
12.4. You are responsible for maintaining the security of your device, including the use of antivirus and security software. STAROHM is not liable for any loss resulting from unauthorized use of your account.
13. Disclaimers and Risk Disclosures
13.1. General Disclaimer:
The Services are provided “as is” and “as available” without any warranties of any kind, express or implied.
13.2. Blockchain Risk Disclaimer:
You acknowledge that blockchain and Digital Asset usage carries inherent risks, including:
- Security risks such as hacking or unauthorized access to your wallet.
- Market risks including price volatility and the potential loss of Digital Assets.
- Regulatory risks, as laws governing blockchain and Digital Assets are subject to change.
13.3. No Financial Advice:
STAROHM does not provide financial, investment, or tax advice. Any information provided through the Services should not be construed as such.
14. Limitation of Liability
14.1. To the fullest extent permitted by law, STAROHM and its affiliates, officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, Digital Assets, or data arising out of your use of the Services.
- Any losses related to unauthorized access to your account, wallet, or Digital Assets.
- Any errors, interruptions, or delays caused by external factors, such as blockchain network failures or cyberattacks.
14.2. In no event shall STAROHM’s total liability for any claim related to the Services exceed USD 100, regardless of the amount you may have paid to STAROHM for the Services in the 12 months preceding the claim.
15. Indemnification
15.1. You agree to indemnify, defend, and hold harmless STAROHM, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services.
- Your violation of these Terms or any applicable law or regulation.
- Any claims arising from User Content you submit or transmit through the Services.
- Your violation of any rights of a third party, including intellectual property rights or privacy rights.
- Any activity conducted using your account, including fraud, misrepresentation, or illegal activities.
16. Termination and Suspension
16.1. STAROHM reserves the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any applicable law.
- Engagement in fraudulent, illegal, or prohibited activities.
- Prolonged inactivity or failure to access the platform.
- Security risks, threats, or technical disruptions to the Services.
16.2. Upon termination of your access to the Services:
- Your rights under these Terms will immediately cease.
- You will no longer be able to access your account or any data stored within it.
- STAROHM has no obligation to retain or return any User Content or data after termination.
16.3. Termination of your access to the Services does not affect your obligations under these Terms, including payment obligations, indemnification, and limitation of liability, which will survive such termination.
17. Governing Law and Dispute Resolution
17.1. Governing Law:
These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of American Samoa, without regard to its conflict of law provisions.
17.2. Dispute Resolution:
In the event of a dispute between you and STAROHM, both parties agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved informally within 30 days, it will be resolved through binding arbitration conducted under the rules of the American Arbitration Association (AAA), rather than in court.
17.3. Place of Arbitration:
The arbitration will take place in a mutually agreed-upon location, or, if no agreement is reached, in American Samoa. The prevailing party will be entitled to recover reasonable legal fees and costs.
17.4. Class Action Waiver:
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive your right to participate in any class action lawsuit against STAROHM.
18. Force Majeure
18.1. STAROHM will not be liable for any delays, failures, or interruptions in the performance or functionality of the Services due to events or circumstances beyond our reasonable control, including but not limited to:
- Acts of God (e.g., earthquakes, hurricanes, floods, or fires).
- Wars, acts of terrorism, civil unrest, or government actions.
- Labor disputes, strikes, or shortages of materials.
- Failures of telecommunications, internet service providers, blockchain networks, or third-party service providers.
19. Changes to the Terms
19.1. STAROHM reserves the right to modify or update these Terms at any time. Any material changes will be communicated by posting the updated Terms on our website, mobile app, or decentralized application (dapp), and by updating the “Last Updated” date at the top of these Terms.
19.2. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.
20. Miscellaneous
20.1. Entire Agreement:
These Terms, along with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and STAROHM regarding your use of the Services. These Terms supersede any prior agreements, whether written or oral, regarding the Services.
20.2. Severability:
If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
20.3. Waiver:
No waiver of any provision of these Terms will be effective unless made in writing and signed by both parties. Failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.
20.4. Assignment:
You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from STAROHM. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
20.5. English Version is Final:
These Terms and Conditions may be translated into other languages for convenience. However, in the event of any inconsistencies or discrepancies between the translations, the English version will take precedence and shall be considered the final, binding version.
